Terms of Service

1. Acceptance and Eligibility

These Terms of Service ("Terms") govern your access to and use of Aize websites, applications, APIs, hosted chat products, agents, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

You may use the Services only if you can form a binding contract and are not prohibited from using the Services under applicable law. If you use the Services on behalf of a company, organization, or other entity, you represent that you are authorized to bind that entity to these Terms.

2. Services and Accounts

• You must provide accurate information and keep your account credentials secure.
• You are responsible for activity that occurs under your account, including actions taken by team members or API keys you control.
• You must notify us promptly if you believe your account or credentials have been compromised.
• We may set or enforce usage limits, technical restrictions, and fair use controls to protect the Services and other users.

3. Billing, Credits, and Subscriptions

Some parts of the Services require payment, prepaid balance, credits, or a subscription. By purchasing a paid Service, you authorize us and our payment processors to charge the applicable fees, taxes, and other amounts due.

• Fees may be usage-based, subscription-based, prepaid, or otherwise described at the time of purchase.
• Unless stated otherwise, fees are non-refundable except where required by law.
• You are responsible for applicable taxes, duties, or similar governmental assessments.
• We may change pricing, credit conversion, or plan structure by posting updated pricing or providing notice where required.
• If payment fails or your balance is exhausted, we may suspend access to paid functionality until the issue is resolved.

4. AI Providers and Third-Party Services

Aize may rely on third-party AI model providers, cloud infrastructure, payment processors, and integrations to deliver the Services. Your use of certain features may therefore involve third-party terms, policies, and technical limitations.

• Prompts, files, and other inputs may be sent to a selected model provider in order to generate outputs.
• Provider availability, latency, retention, and output quality may vary and are outside our direct control.
• We are not responsible for third-party products, sites, integrations, or provider actions except as required by applicable law.

5. Customer Content and Outputs

You retain ownership of the prompts, files, and other content you submit to the Services ("Customer Content"), subject to the rights you grant in these Terms.

• You grant Aize a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, and process Customer Content as necessary to operate, secure, and improve the Services.
• You are responsible for ensuring that you have all rights, permissions, and legal bases needed to submit Customer Content.
• AI-generated outputs may be inaccurate, incomplete, offensive, or unsuitable for your use case and must be reviewed by a human before high-impact use.
• Because AI systems can generate similar results for multiple users, outputs may not be unique and may not qualify for intellectual property protection.

6. Acceptable Use

You may not use the Services to:

• Violate law, infringe intellectual property or privacy rights, or facilitate fraud, harassment, abuse, or exploitation.
• Generate, distribute, or promote malware, phishing content, spam, disinformation, or harmful code.
• Attempt to reverse engineer, extract source code from, bypass safeguards for, or interfere with the Services or underlying models, except where prohibited by law.
• Use automated means to scrape, overload, benchmark, or probe the Services in a manner that disrupts operations or circumvents limits.
• Submit content that you do not have the right to use or that contains sensitive data in violation of law or contractual obligations.
• Use the Services to build or train a competing service using restricted outputs, metadata, or system behavior where prohibited by applicable product rules.

7. Aize Intellectual Property

The Services, including our software, interface, branding, site content, and related technology, are owned by Aize or our licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted to you, no rights are transferred to you.

8. Beta Features and Changes

We may offer preview, beta, experimental, or early-access features. Those features may be incomplete, change materially, or be discontinued at any time, and may be subject to additional terms. We may also modify, suspend, or discontinue any part of the Services as we evolve the platform.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Aize disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and quiet enjoyment.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that outputs will be accurate or suitable for your intended use.

10. Limitation of Liability

To the fullest extent permitted by law, Aize and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunity, or business interruption arising out of or related to the Services.

To the fullest extent permitted by law, Aize's aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid to Aize for the Services in the 12 months before the event giving rise to the claim, or (b) USD $100.

11. Indemnity

You agree to defend, indemnify, and hold harmless Aize and its affiliates, personnel, and licensors from and against claims, liabilities, damages, judgments, losses, and expenses arising out of or related to your Customer Content, your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access, remove content, or disable features if we reasonably believe you have violated these Terms, created risk for other users, failed to pay amounts due, or if suspension is necessary for legal, security, or operational reasons.

Sections that by their nature should survive termination, including sections on ownership, disclaimers, limitations of liability, indemnity, dispute resolution, and payment obligations, will survive.

13. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction where the Aize entity providing the Services is established, without regard to conflict of laws principles, except where mandatory law requires otherwise.

Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, the parties agree that the courts with competent jurisdiction over the applicable Aize entity will have exclusive jurisdiction, unless applicable law requires a different forum.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and may provide additional notice through the Services or by email. By continuing to use the Services after the effective date of the revised Terms, you agree to the updated Terms.
